CBN Declares Zuldal MFB Illegal — A Sobering Warning For Nigerians

Apex bank urges Nigerians to steer clear of Zuldal MFB, citing illegal operations and potential fraud.

In an era where financial desperation often meets digital deception, the Central Bank of Nigeria’s (CBN), recent announcement on Zuldal Microfinance Bank Limited lands like a cold splash of water. On Thursday, the apex bank issued a firm and unambiguous statement: Zuldal Microfinance Bank is not licensed, not authorised, and not recognised to operate in Nigeria’s financial space.

The CBN’s tone was not merely corrective — it was cautionary.

A Name, Four Cities, and Zero Licence

According to the regulator, public attention has been drawn to the activities of an entity parading itself as Zuldal Microfinance Bank Limited, reportedly running branches across Lagos, Abuja, Kaduna, and Kano. The company, the CBN says, has been presenting itself as a legitimate microfinance institution, allegedly boasting a licence from the apex bank.

But in the CBN’s own words:





“The said Zuldal Microfinance Bank Limited is not a licensed Microfinance Bank and has no authorisation from the Central Bank of Nigeria to operate or carry out any form of banking or microfinance business in Nigeria.”

This is not a mild administrative oversight. It is a red flag — a warning sign of an institution operating in the dark corners of the financial system, without regulatory approval, oversight, or consumer protection obligations.

The Law Is Clear — And Zuldal is on the Wrong Side of It

For further clarity, the CBN invoked Section 2(1) of the Banks and Other Financial Institutions Act (BOFIA), 2020, which states plainly:

“No person shall carry on any banking business in Nigeria except it is a company duly incorporated in Nigeria and holds a valid banking licence issued by the CBN.”

In other words, no licence, no banking — no exceptions.

Zuldal MFB, therefore, stands outside the law’s boundaries, and anyone engaging with the entity does so without the safety net that legitimate financial institutions provide.

A Strong Advisory for Nigerians

With a stern tone, the CBN urged Nigerians to disregard any claims of licensing or approval purported by Zuldal MFB. The public was warned not to conduct any financial transactions with the entity, as:

“Such dealings are undertaken at the individual’s own risk.”

This choice of wording — “own risk” — is deliberate. It signals more than regulatory concern; it signals potential danger. Whether it is deposit-taking, lending, or investment solicitation, unlicensed actors expose Nigerians to fraud, loss of funds, and financial manipulation with no possibility of redress.

Protecting the Financial System — and the Public

The CBN reiterated its unwavering commitment to shielding Nigeria’s financial ecosystem from unlicensed operators and fraudulent schemes. Microfinance banks, in particular, are supposed to serve grassroots communities and small businesses — sectors highly vulnerable to exploitation.

When impostors infiltrate this space, they do not merely break the rules; they erode trust.

To empower the public, the apex bank reminded Nigerians that the complete and updated list of licensed financial institutions — including microfinance banks — is publicly available on its official website. It’s a tool citizens are encouraged to use, especially in a climate where financial scams are becoming increasingly sophisticated.

EDITORIAL NOTE: A Wake-Up Call

Zuldal’s case is not isolated. It is symbolic of a broader challenge: Nigerians, often in search of quick credit or attractive returns, can fall prey to institutions that wear the costume of legitimacy but lack the substance.

The CBN’s warning should be taken not just as a regulatory announcement but as a wake-up call.

In a system striving for stability, fraudulent or unlicensed operators destabilise progress, prey on trust, and compromise financial security. Nigerians must be vigilant — now more than ever — verifying before trusting, and checking before transacting.

The message is clear: If it is not licensed by the CBN, it is not a bank — and it is not safe.
